Welcome to web Website TurkeyTPS.com (hereinafter referred to as the Website). Our company's Website is operated solely with the purpose of providing various information regarding goods and services, legitimate reservation, and any other transactions with tourist services and goods suppliers. By indicating "we", "us", "our' and TurkeyTPS we henceforth refer to the company entitled Lider Turizm Egitim Hizmetleri ve Danismanlik Tic. Ltd. Sti., which is legally registered in Istanbul, Turkey. By indicating "you", "your" or "yours" we refer to any client entering the Website and/or making reservations online.

Services offered at the Website may be accepted only provided that no changes are made in the names, conditions and comments specified below (jointly referred to as Agreement). By entering the Website or using it in any manner you tacitly accept the conditions of the present Agreement. We kindly ask you to peruse the present Agreement. If you do not agree with any provisions of the present Agreement, do not use the Website. Review the Agreement periodically to detect any eventual changes. We reserve the right to modify any provisions of the present Agreement unilaterally without prior notice. Uninterrupted use of the Website by you shall mean your consent with all provisions of the modified versions of Agreement.

USE OF THE WEBSITE

Mandatory conditions for using the Website are as follows: (a) full age (at least 18 years of more), (b) You posses the legal authority to create a binding legal obligation, (c) use of the Website in compliance with all the provisions of the present Agreement, (d) use of the Website for lawful reservation on your own behalf or on behalf of other persons, who have lawfully authorized you to perform such actions on their behalf, (e) All information supplied by you on this Website is true, accurate, current and complete, and (f) you shall be liable for non-disclosure of your personal account; accordingly, you shall be fully liable for use of your account by third parties. We reserve the right to decline your registration or use of the Website's services at any time either for breach of terms of the present Agreement, or due to any other reason at our own discretion.

PROHIBITED ACTIONS

Information and Website content, including the quoted prices and the data regarding availability of tourist services, as well as the infrastructure supporting said information and content are owned either by us or our suppliers/providers. While you shall be authorized to make a limited number of copies of data directly related to your order for using them during your trips or in view of receiving other services, you are not authorized to modify, copy, distribute, transmit, demonstrate, use, reproduce, publish, license, create derivatives, send, sell or resell any information, software, goods or services received via the Website. Besides, you undertake not to perform the following actions:

RULES AND LIMITATIONS RELATING TO SERVICE PROVIDERS

Separate terms and conditions shall be applicable to your reservations and purchases of selected tourist goods and services. Please examine all mentioned terms and conditions separately. You undertake to abide by all terms and conditions governing the purchase of goods and services from any seller selected by you, including timely and thorough payment, as well as to abide by the rest of the seller's conditions regarding availability and purchase of goods and services. You herein acknowledge that you have been informed about the fact that certain third party sellers offering certain goods and services may require from you to accept their own agreements establishing the liability upon use of their goods and services. You also acknowledge that you that you have been informed about the fact that breach of any of said agreements by you may entail the seller's refuse to provide to you any service or sell you any goods, admit you to any events, as well as to retain the money paid by you upon reservation for the goods or service in case and/or cause you to cover any expenses incurred by us as a result of such breaches from your account.

REVIEWS, COMMENTS AND OTHER MESSAGES

We are thankful for your feedback. Please be kindly advised that by sending us electronic messages or leaving messages on the Website, including hotel reviews, questions, comments, proposals, ideas, etc. (jointly referred to as Messages) you grant to TurkeyTPS a free of charge non-exclusive permanent transferable irrevocable sublicensable right to (a) use, multiply, modify, adapt, translate, distribute, publish, create derivatives, and publicly reproduce and show said Messages by means of existing or eventually created mass media and (b) use the name specified by you in your Messages. You herein acknowledge that you have been informed about the fact that TurkeyTPS is entitled to post comments and remarks to your notes or reviews e.g. indicate your name and city/town in the hotel review provided by you) at its own discretion, and such notes may subsequently be forwarded to our partners. Besides, you authorize TurkeyTPS to sue any person or entity violating your rights and the rights TurkeyTPS in its Message(s), thus breaching the conditions of Agreement. You have been informed and accept the fact that Messages are neither confidential nor patented. We shall not be liable for your Messages in either way. We are not bound to publish your messages and we have the exclusive right to decide which Messages shall be published in the Website. If you do not agree with these provisions, please do not send us your Messages.

You are fully liable for the content of your Messages, especially for surveys of any kind. It is prohibited to post or copy to the Website: (a) illegal, threatening, calumnious, deliberately false, immoral, pornographic and other materials violating social norms and civil rights; (b) any commercial materials (including investment requests, advertising, and proposals of goods or services); and (c) any materials violating or illegally assuming other parties' copyrights, trade marks, patents, and any other property rights of third parties. You are fully liable for the consequences of breach of the above-mentioned rules or for any other damage caused by posting any materials on the Website. We herein inform you that TurkeyTPS is thoroughly entitled to execute the totality of its rights, i.e. use, delete or publish any information provided by you without notice.

PREPAID RESERVATION

In view of facilitating the reservation process, TurkeyTPS has preliminary agreements regarding room rates with hotel owners and other suppliers of tourist services. Room rates and tourist service prices quoted at the Website include room rates/prices of services under preliminary agreements between TurkeyTPS and respective hotel owners/service providers, as well as TurkeyTPS's facilitation fee retained by TurkeyTPS for its reservation services. You authorize TurkeyTPS to reserve rooms/services at the total price including the price specified at the Website, plus applicable taxes and payment for services. You also authorize TurkeyTPS to withdraw the amounts necessary to perform the above-mentioned actions from your credit card. Immediately after receiving your request on the Website TurkeyTPS may start the simplified room/service reservation procedure for you, including the payment for the room/service in case to the hotel owner/service provider.

TurkeyTPS does not collect any taxes with a view of further transferring them to the competent authorities. Taxes included in the reserved room rate/service price (e.g. reservation fee itself, reservation tax, VAT, etc.) are paid by TurkeyTPS directly to the hotel owners/service providers. The latter charge TurkeyTPS with an amount including all tax-related expenses. Thus, hotel owners and other service providers are liable for transferring the required amounts to the accounts of competent fiscal authorities. TurkeyTPS does not act as a co-supplier for hotel owners or other service suppliers selling rooms or other services required by our clients. Taxability and the appropriate tax rate depend on the legislation of the Republic of Turley. The actual tax amounts paid by TurkeyTPS to the hotel suppliers/service providers may vary from the tax recovery charge amounts, depending upon the rates, taxability, etc. in effect at the time of the actual use of the hotel/service by our customers. We retain our service fees as compensation in servicing your travel reservation. Our service fees vary based on the amount and type of hotel reservation.

You may change or cancel your booking, as well as inquire recalculation of your booking in case of late check-in or early check-out, in compliance with general Cancellation Policy of the Website.

You undertake to cover all penalties that may arise as a result of cancellation/change of your booking. Certain hotels and hotel providers may not allow changing or cancellation of reservations, which fact is indicated in Cancellation Policy. In any case, when making a reservation, you undertake to abide by all provisions established by the hotel or service provider selected by you.

ITINERARIES

Despite the fact that the greatest part of the travels happen without any accidents, certain itineraries may entail greater risk than the others. TurkeyTPS insistently advices you to study thoroughly all prohibitions, warnings, information messages and advises published by the official bodies of the Republic of Turkey before booking your foreign trip.

TurkeyTPS does not assert in either way that your particular trip will be safe and free from any risk and shall not be held liable for any damage happening during the trip.

LIABILITY POLICY

Information, software, goods and services described on the Website may contain errors or inaccuracies, including those price-related. In particular, TurkeyTPS does not guarantee the accuracy and does not bear responsibility for the trustworthiness of descriptions of hotels, planes, ships, cars and other means of transport, as well as excursion programs, sights and other services published at the Website (including without limitation the trustworthy character of prices, photos, service range, general descriptions, etc), as the majority of such information is provided directly by the respective owners. Besides, TurkeyTPS reserves the right to adjust the prices quoted at the Website and/or suspend the reservation procedure in case if the price is erroneous. In such cases we will provide you with a possibility to reinstate the suspended reservation at a correct price or, as an alternative, to cancel the reservation without any cancellation fee.

Hotel rating published at the Website was designed only for the reference appraisal, as TurkeyTPS cannot guarantee its objectivity. Also, both TurkeyTPS and supplier do not guarantee availability of certain goods and services. We shall be authorized to post at the Website the respective updates and changes at any time.

Both we and our partners do not confirm trustworthiness and quality of information, software, goods and services published at the Website. Availability of any goods or services at the Website does not mean that TurkeyTPS recommends or endorses its use. All such goods, services, and information are posted at the Website in their original form without any guarantee. TurkeyTPS does not guarantee that the Website, its supporting servers and e-mails sent by TurkeyTPS do not contain viruses or other harmful elements. Thus, we are not liable for such information, software, goods, and services.

Transport companies, hotels and other goods and services providers mentioned at the Website are TurkeyTPS's independent partners, who are not our agents or branch offices. Thus, TurkeyTPS shall not be held liable for any actions, errors, inaccuracies, statements, guarantees, violations or false information causing any bodily, economic, moral or any other type of damage to any person or entity. TurkeyTPS shall also not be liable or financially accountable for delays, cancellations, wrong placement, strikes and other force majeure circumstances, except those directly depending on us, including additional expenses, cancellations, delays, itinerary changes and other similar actions caused by the state.

TurkeyTPS and our providers shall not be held liable for any direct, indirect, coercive, incidental, deliberate, special or consequential damage arising in connection or due to your use, demonstration, or impossibility to use the Website (including your thoughts and ideas appearing thanks to the information contained at the Website, viruses, data, software, links, goods or services acquired in any manner via the Website), whether they be based on negligence, contractual conditions, strict undertakings or any other factor, even if TurkeyTPS and our providers had received preliminary information suggesting the possibility of causing such damage.

If either TurkeyTPS or our providers are pronounced the cause or contributors to damage arising due to one of the causes mentioned above, TurkeyTPS and our providers shall be bound to cover the damage in the amount not exceeding (a) transactional costs related to your visit to the Website or (b) $100 (100.00 USD).

Limitation of liability reflects the distribution of risk between the parties. Limitations set forth in the present section shall apply even in cases when the above-mentioned compensation is not big enough to cover the damage. TURKEYTPS WEB WEBSITE SOFTWARE

Any software available for downloading at the Website (hereinafter referred to as Software) is the property of TurkeyTPS. Use of Software represents the subject of a license agreement annexed (if applicable) or included in Software documentation (hereinafter referred to as License Agreement). You may quit installation or not use the Software accompanied by a License Agreement if you do not agree with it. For any Software available at the Website, which is not accompanied by such agreement, we grant you a limited personal non-transferable license to use the Software in case or to use the Website in any other way in compliance with the provisions mentioned above, given that such use does not suppose any other applications.

All Software, including HTML codes and applicable Active X components, is the property of TurkeyTPS protected by property laws and applicable international regulations. Copying or distribution of software is strictly prohibited and is subject to civil and criminal liability. Violators will be prosecuted with all possible severity.

Distribution, copying or reproduction of Software on any other servers or web Websites is strictly prohibited. Software may be accompanied by guarantee according to the provisions of License agreement.

EXCHANGE RATES

Currency exchange rates are based on public sources and can be used only as approximate data. Exchange rates are not precise, as the real exchange rates may change. Exchange rate adjustment is not performed on a daily basis. Information regarding exchange rates is fairly reliable; nevertheless, TurkeyTPS does not guarantee preciseness. Use of Website under any other legislation incompliant with all the above-mentioned provisions (including the present paragraph) shall be illegal.

You herein acknowledge that by causing the present agreement to be effective or by using the Website you do not initiate any joint venture, partnership, or employment relations with TurkeyTPS.

Execution of the present Agreement is the subject of applicable laws and legal procedures. Note that neither provision of the present Agreement shall limit your right to legal prosecution, legal inquiries or claims related to the use of Website or the information provided or gathered by us for such use. Within the limits established by law you undertake to send your claims related to Website use along with all the information required to implement the respective measures pertaining to your claim during one (1) year from the moment when the situation causing such claim appears. Otherwise, the validity period for such causes shall expire without the right to resume the examination of precedent.

Should any part of the present Agreement, including limitation of guarantee and liability, become void or null under the applicable legislation, such void or null conditions follow to be replaced by new effective and executable conditions, which shall to the greatest possible extent be compliant with the initial conditions of Agreement without the need to cancel or change the initial subject and provisions of Agreement.

The present Agreement along with other rules and provisions mentioned in the present document represent full agreement between you and TurkeyTPS regarding the Website and superseding all and any former or current agreements, contracts or proposals, both verbal and written, between the client and TurkeyTPS in all matters related to the Website. Printed version of the present Agreement, as well as any other electronic document, represents a legal copy replacing the original agreement in any court or arbitration proceedings. Such printed copies shall be governed by the same rules as any other commercial documents and inscriptions initially executed in written form.

Fictitious names of persons, companies, goods, characters and/or data posted at the Website are not meant to coincide with real persons, entities, goods or events.
